Please read these Terms of Service ("Terms") carefully before using DAT Filter ("Service," "Extension," "we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By installing, accessing, or using DAT Filter, you agree to these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, do not use the Service.

2. Eligibility

• You must be at least 18 years old to use this Service
• You must have a valid DAT loadboard subscription
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account

3. Service Description

DAT Filter is a Chrome browser extension that provides:

• Advanced filtering for DAT loadboard results
• One-click email functionality to contact brokers
• Load bookmarking and management
• Profit calculator tools
• Custom email templates

Important: DAT Filter enhances your existing DAT subscription. It is not a replacement for DAT and requires an active DAT loadboard subscription to function.

4. Account Registration and Security

4.1 Account Creation

• You must sign up using Gmail or Outlook OAuth
• You agree to provide accurate, current, and complete information
• You are responsible for all activity under your account
• You may not share your account with others

4.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• Notify us immediately of any unauthorized access
• We are not liable for losses due to unauthorized account access

5. Subscription and Payments

5.1 Free Trial

• New users receive a 14-day free trial with full access
• No credit card required for the trial
• Trial automatically ends after 14 days unless you subscribe
• One trial per user (based on email address)

5.2 Subscription Plans

• New User Special: $19.99 for first 3 months (limited time offer)
• Monthly Plan: $9.99/month, billed monthly
• Annual Plan: $99.99/year, billed annually

5.3 Billing and Renewal

• Subscriptions automatically renew at the end of each billing period
• You will be charged the then-current subscription rate
• Price changes will be communicated 30 days in advance
• All fees are non-refundable except as required by law or our 30-day money-back guarantee

5.4 Payment Methods

We accept major credit cards and other payment methods through our payment processor. You authorize us to charge your payment method for all fees.

5.5 Money-Back Guarantee

If you're not satisfied within 30 days of your first paid subscription, contact us for a full refund. This applies to your first purchase only.

6. Cancellation and Termination

6.1 Cancellation by You

• You may cancel your subscription at any time from your account settings
• Cancellation takes effect at the end of the current billing period
• You will continue to have access until the period ends
• No refunds for partial months/years (except money-back guarantee)

6.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Abuse or misuse the Service
• Fail to pay applicable fees
• Engage in conduct harmful to other users or our business

7. Acceptable Use Policy

7.1 You May Not:

• Use the Service for any illegal purpose
• Violate any laws, regulations, or third-party rights
• Spam brokers with excessive emails
• Attempt to reverse engineer, decompile, or disassemble the Extension
• Use automated tools to scrape or harvest data from DAT
• Share or resell your account access
• Interfere with the Service's operation or security
• Impersonate others or provide false information

7.2 Email Usage

• You are responsible for all emails sent through the Extension
• Emails must comply with CAN-SPAM Act and applicable laws
• Do not send spam, harassing, or inappropriate messages
• We may limit email volume to prevent abuse

8. Third-Party Services

8.1 DAT Loadboards

You must maintain an active DAT subscription to use this Service. We are not affiliated with DAT Freight & Analytics and are not responsible for their services, pricing, or policies.

8.2 Email Providers

Email functionality requires connecting your Gmail or Outlook account via OAuth. You must comply with Google's and Microsoft's terms of service. We are not responsible for email delivery or third-party email service issues.

9. Intellectual Property

9.1 Our Rights

DAT Filter, including all code, features, designs, trademarks, and content, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute the Extension except as expressly permitted.

9.2 Your Rights

You retain all rights to content you create (email templates, filter settings, etc.). By using the Service, you grant us a limited license to use your content solely to provide the Service.

9.3 Feedback

If you provide feedback, suggestions, or ideas, we may use them without any obligation to you.

10. Disclaimers and Limitations

10.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantees

We do not guarantee:

• Uninterrupted or error-free operation
• That the Service will meet your specific requirements
• Specific financial results or load booking success
• Compatibility with all systems or future DAT updates

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless DAT Filter and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Emails you send through the Service

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally for at least 30 days.

12.2 Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. You waive your right to a jury trial or class action.

12.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

13. Changes to Service and Terms

13.1 Service Changes

We may modify, suspend, or discontinue any feature of the Service at any time. We will provide reasonable notice for material changes.

13.2 Terms Changes

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after changes constitutes acceptance.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

14.2 Severability

If any provision is found unenforceable, the remaining provisions will remain in full effect.

14.3 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and DAT Filter.

14.4 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

14.5 Assignment

You may not assign these Terms without our consent. We may assign them to any affiliate or successor.
